One accountant for the partnership and every partner.

Each partner takes a share of the profit and pays tax on it. We prepare the LLP's accounts, its partnership tax return and each partner's own return, then tell everyone what to pay and when.

Limited liability, taxed like a partnership.

An LLP protects the partners' personal assets like a company, but HMRC taxes it like a partnership. Each partner pays tax and National Insurance on their own share of the profit.

The partnership files its own return (SA800) and each partner files a personal one (SA100), so two partners means three returns. Starting out? We'll register the partnership with HMRC for you on form SA400.

  • Partnership registered with HMRC (form SA400)
  • Statutory year-end accounts
  • Partnership tax return (SA800)
  • Each partner's own tax return (SA100)

Every partner gets their own return.

LLP accounts, answered.

The questions people ask us most. If yours isn't here, ring us and you'll get a straight answer.

A business run by two or more members, who can be people or companies, registered at Companies House. The members aren't personally liable for the LLP's debts, so their own assets are protected if the business struggles. It mixes the flexibility of a partnership with the limited liability of a company.

The LLP itself doesn't pay income tax. It files accounts and a partnership return, and the profit is shared between the members, equally unless your LLP agreement says otherwise. Each member pays income tax and National Insurance on their share through self assessment. A company that is a member pays corporation tax on its share.

Online partnership and personal returns are due by 31 January after the end of the tax year, and that's also when the partners pay. Partners usually make payments on account towards the next bill as well.

Not by law. Until your partnership is big enough to need an audit, you can prepare the accounts yourself. Most partners would rather hand the books and returns to someone who does it every day.

You need at least two members, and the LLP must be registered with Companies House and with HMRC. Its name has to end in LLP or Limited Liability Partnership, and it needs a registered address. Write an LLP agreement covering how profits and losses are shared and what happens when members join or leave. Without one, the Limited Liability Partnerships Act 2000 applies.

Every LLP needs at least two. They take on extra legal duties, such as filing the annual accounts and other documents at Companies House.

Annual accounts, and a yearly statement of the LLP's details and members. You must tell Companies House within 14 days when a member joins or leaves. If an LLP stops filing, the registrar may assume it has stopped trading and strike it off.

Yes. The fixed monthly price covers your year-end accounts and tax returns, plus the bookkeeping, payroll, VAT and anything else in your quote. It's all set out in the terms we send when you start.

Very little. We complete each partner's return, deal with HMRC if they ask questions and tell you how much tax you owe. We can also review your tax position during the year to help you pay less.

Usually each partner's photo ID, date of birth, address and proof of address, National Insurance number and UTR, plus the LLP's name, number, any VAT number and the last tax return. We'll tell you exactly what we need when we get in touch.
