Liability
Australian users: limitation of liability
Nothing in these terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy you may have under the Competition and Consumer Act 2010 (Cth), or any similar State and Territory legislation, which cannot be excluded, restricted or modified (a non-excludable right). To the fullest extent permitted by law, our liability to you, including liability for breaching a non-excludable right and any liability not otherwise excluded under these terms, is limited, at our sole discretion, to performing the services again or paying the cost of having them supplied again.
US users: disclaimer of warranties
This website is provided strictly "as is" and "as available". You use it and its services at your own risk. To the maximum extent permitted by applicable law, we expressly disclaim all conditions, representations and warranties (whether express, implied, statutory or otherwise), including but not limited to any implied warranty of merchantability, fitness for a particular purpose or non-infringement of third-party rights. No advice or information, spoken or written, that you get from us or through the website creates any warranty not expressly stated here.
Without limiting the above, we and our subsidiaries, affiliates, licensors, officers, directors, agents, co-branders, partners, suppliers and employees do not warrant that the content is accurate, reliable or correct; that the website or its services will meet your requirements; that they will be available at any particular time or place, without interruption or securely; that any defects or errors will be corrected; or that they are free of viruses or other harmful components. Any content you download or otherwise obtain through the website is at your own risk, and you alone are responsible for any damage to your computer system or mobile device, or loss of data, that results from that download or from your use of the website.
We do not warrant, endorse, guarantee or take responsibility for any product or service advertised or offered by a third party through the website or any linked website or service, and we are not a party to, and do not monitor, any transaction between you and third-party providers of products or services.
The website may become inaccessible, or may not work properly with your web browser, mobile device or operating system. We cannot be held liable for any perceived or actual damages arising from the website's content, operation or use.
Federal law, some states and other jurisdictions do not allow the exclusion and limitation of certain implied warranties, so the exclusions above may not apply to you. This agreement gives you specific legal rights, and you may also have other rights which vary from state to state. The disclaimers and exclusions in this agreement do not apply to the extent the law prohibits them.
US users: limitation of liability
To the maximum extent permitted by applicable law, in no event will we, or our subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers and employees, be liable for:
- any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the website or its services
- any damage, loss or injury resulting from hacking, tampering or other unauthorised access to or use of the website, your account or the information in it
- any errors, mistakes or inaccuracies of content
- personal injury or property damage of any kind resulting from your access to or use of the website
- any unauthorised access to or use of our secure servers and any personal information stored on them
- any interruption or stopping of transmission to or from the website
- any bugs, viruses, trojan horses or the like that may be transmitted to or through the website
- any errors or omissions in any content, or any loss or damage caused by using any content posted, emailed, transmitted or otherwise made available through the website
- the defamatory, offensive or illegal conduct of any user or third party.
In no event will we, or our subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers and employees, be liable for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount greater than the amount you paid us under these terms in the previous 12 months, or the period this agreement between us has lasted, whichever is shorter.
This limitation of liability applies to the fullest extent permitted by law in the relevant jurisdiction, whether the alleged liability is based on contract, tort, negligence, strict liability or any other basis, even if we have been advised of the possibility of such damage.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the limitations or exclusions above may not apply to you. These terms give you specific legal rights, and you may also have other rights which vary from jurisdiction to jurisdiction. The disclaimers, exclusions and limitations of liability in these terms do not apply to the extent the law prohibits them.
Indemnity
You agree to defend, indemnify and hold harmless us and our subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers and employees against any and all claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to legal fees and expenses, arising from:
- your use of and access to the website and its services, including any data or content you send or receive
- your breach of these terms, including but not limited to any of the representations and warranties in them
- your breach of any third-party rights, including but not limited to any right of privacy or intellectual property rights
- your breach of any law, rule or regulation
- any content submitted from your account, including by a third party using your unique username, password or other security measure, if applicable, including but not limited to misleading, false or inaccurate information
- your wilful misconduct, or
- any statutory provision by you or your affiliates, officers, directors, agents, co-branders, partners, suppliers and employees, to the extent allowed by applicable law.
General provisions
No waiver
If we do not enforce a right or provision under these terms, that does not waive it. No waiver is a further or continuing waiver of that term or any other.
Interruptions to the website
To keep the website running as well as possible, we may interrupt it for maintenance, system updates or any other changes, and will let you know as appropriate.
Within the limits of the law, we may also decide to suspend or close the website altogether. If we close it, we will work with you so that you can withdraw your personal data or information as the law allows.
The website may also be unavailable for reasons outside our reasonable control, such as force majeure (for example strikes, infrastructure failures or power cuts).
Reselling
You may not reproduce, duplicate, copy, sell, resell or exploit any part of this website or its services without our express written permission in advance, given either directly or through a legitimate reselling programme.
Privacy
To learn more about how we use your personal data, see our privacy policy.
Transferring this agreement
We may transfer, assign, dispose of or subcontract any or all of our rights under these terms. The provisions on changes to these terms apply to this as well.
You may not assign or transfer your rights or obligations under these terms in any way without our written permission.
Contact
All communications about the use of this website must be sent using the contact details in this document.
Intellectual property
All intellectual property rights relating to this website, such as copyright, trade mark rights, patent rights and design rights, belong exclusively to us or our licensors.
All trade marks and other marks, trade names, service marks, word marks, illustrations, images and logos that appear in connection with this website and its services are the exclusive property of us or our licensors.
These intellectual property rights are protected by the relevant laws and international treaties on intellectual property.
Changes to these terms
We may amend or otherwise change these terms at any time. If we do, we will let you know as appropriate.
Changes only affect our relationship with you from then on.
If you keep using the website or its services, you accept the revised terms.
If you do not accept the revised terms, either of us may end the agreement.
Where the law requires it, we will say the date on which the changed terms take effect.
If part of these terms is invalid
If any of these terms is found to be, or becomes, invalid or unenforceable under the law that applies, that does not affect the validity of the rest, which stay in full force and effect.
EU users
If any provision of these terms is, or is found to be, void, invalid or unenforceable, both parties will do their best to agree, amicably, on valid and enforceable provisions to replace the void, invalid or unenforceable parts.
If we cannot agree, the void, invalid or unenforceable provisions will be replaced by the relevant statutory provisions, if the law allows or provides for this.
Without affecting the above, the fact that a provision of these terms is void, invalid or cannot be enforced does not void the whole agreement, unless the severed provisions are essential to it, or so important that neither party would have entered into the contract if they had known the provision would not be valid, or where the remaining provisions would cause either party unacceptable hardship.
US users
Any invalid or unenforceable provision will be interpreted, construed and reformed as far as reasonably needed to make it valid, enforceable and consistent with its original intent. These terms are the entire agreement between you and us on their subject matter, and replace all other communications between us on it, including but not limited to all earlier agreements. These terms will be enforced to the fullest extent permitted by law.
Governing law and jurisdiction
Governing law
These terms are governed by the law of the place where we are based (see who provides this website), without regard to conflict of laws principles.
Exception for European consumers
Despite the above, if you are a European consumer and live in a country where the law gives a higher standard of consumer protection, that higher standard applies.
Where disputes are decided
The courts of the place where we are based (see who provides this website) have exclusive jurisdiction to decide any dispute arising from or connected with these terms.
This does not apply to users who are European consumers, or to consumers based in Switzerland, Norway or Iceland.
